These provisions need reviewing on their own terms rather than treating the lease as a generic office or warehouse agreement.

Turnover rent is a rent structure where some or all of the rent is calculated as a percentage of the tenant’s trading income, on top of or instead of a fixed base rent. It is common in shopping centres and leisure destinations where the landlord shares in trading performance. The reporting obligations, audit rights and any minimum guaranteed rent all need careful negotiation, since a poorly drafted turnover rent clause can create ongoing disputes over what counts as turnover.

Most retail leases require landlord consent for shopfront changes, signage, and kitchen or fit-out installations, even where the lease otherwise allows alterations. The consent process, timescales and any conditions attached should be checked and, where possible, agreed before you commit to an opening date. Delays in obtaining consent are a common reason retail fitouts run over schedule, so it is worth resolving this at the lease negotiation stage rather than afterwards.

An exclusive use clause restricts what type of business can occupy other units in the same shopping centre, parade or development, protecting a tenant from direct competition close by. As a tenant, this can be valuable if you can negotiate one in your favour. As a landlord, overly broad exclusive use clauses can limit your flexibility to let other units. The wording needs to strike a workable balance for whichever side of the lease you are on.

It depends on the lease and the unit.
