A lawyer adds most value where the other side has their own legal representation, where the stakes are high enough that getting a clause wrong would be costly, or where you simply want a clear, professional response prepared rather than negotiating from a position of uncertainty about what is reasonable to ask for.

Both approaches work, and the right choice depends on the relationship and the stakes involved. Negotiating directly keeps the relationship personal and can move faster, with a solicitor preparing the wording and strategy behind the scenes. Having a solicitor negotiate directly on your behalf works well where the relationship is more transactional, or where you want distance between yourself and points that need to be pushed firmly.

This happens most often with larger businesses using standard terms they are unwilling to vary for a single customer or supplier. In that situation, the choice usually comes down to accepting the terms as they stand, walking away from the deal, or focusing negotiation efforts on the one or two points that genuinely matter most rather than trying to change everything, since a business is far more likely to move on a small number of specific asks.

A straightforward negotiation over a small number of points can often be resolved within a few rounds and a week or two. More complex negotiations, particularly multi-party deals or ones involving significant commercial terms, can run for several weeks as drafts go back and forth. Setting a realistic timeline early, and being clear about any genuine deadline, helps keep the process moving.

Liability caps, payment terms, termination rights and indemnities are consistently the points worth the most attention, since they carry the most financial and practical consequence if something goes wrong later. Clauses covering intellectual property ownership and confidentiality are also worth close attention in service and technology contracts specifically, where the value of the relationship often sits in what is created or shared during it.

It can, if handled poorly, which is why how a point is raised often matters as much as the point itself. Framing requests around a shared commercial interest, rather than treating the negotiation as adversarial, tends to get better results and preserves the relationship, which is particularly important where the parties will be working together closely once the contract is signed.

Where a genuine dealbreaker cannot be resolved, the realistic options are compromising on a middle position, deferring the point to be revisited after a trial period, or accepting that the deal may not proceed if the term is fundamental enough to either side. Identifying which points are true dealbreakers before negotiations start makes this decision far easier if it arises.
