Terms and Conditions FAQs

There is no general legal requirement to have written terms and conditions, but trading without them means the relationship is governed by whatever a court decides was agreed, often based on invoices, emails or conduct rather than a clear document. If you sell to consumers online, certain information must be provided before a contract is made regardless of whether you call it terms and conditions, so in practice most trading businesses need them.

Not usually, since the legal requirements and commercial risks differ significantly between the two. Website terms aimed at consumers need to reflect consumer protection law and how the contract is formed online, while B2B trading terms can be more heavily weighted toward protecting your business, covering things like credit terms and retention of title that would not apply to a consumer sale. If you sell through resellers rather than direct to end customers, a separate distribution agreement usually sits alongside your standard trading terms.

The terms need to be brought to the other party’s attention before the contract is made, not buried in a link nobody is likely to see or introduced after the order has already been placed. For online sales, this usually means requiring active acceptance at checkout. For B2B trading, referencing your terms clearly on quotes, orders and invoices, consistently, matters more than the wording of the terms themselves.

A well drafted limitation of liability clause sets a realistic cap on what you could be required to pay if something goes wrong, usually tied to the value of the contract, and excludes types of loss that would be disproportionate to what you are being paid, such as loss of profits or consequential losses. Some liabilities, such as death or personal injury caused by negligence, cannot be excluded under UK law regardless of what the clause says.

As a general guide, every one to two years, or sooner if your business model changes, such as launching a subscription option, starting to sell internationally, or moving from B2B only to also selling to consumers. Consumer law and online trading requirements also change periodically, so terms that were compliant when drafted can fall out of date without the business realising.

An unfair or unenforceable clause is typically simply disregarded, rather than making the whole contract void, which means you can be left without the protection you thought you had at exactly the point you needed it. This is particularly common with clauses that try to exclude too much liability or that were not properly brought to the customer’s attention before the contract was formed.

Business to business terms can exclude or limit liability more freely, since both parties are assumed to be negotiating on a more even footing. Business to consumer terms is subject to consumer protection law that restricts unfair terms, requires certain information to be given before a contract is made, and gives consumers rights that cannot be excluded by contract, regardless of what your terms say.
