Agency Agreement Solicitors FAQs

An agent negotiates or concludes contracts on behalf of the principal, who remains the party selling the goods or services. A distributor buys goods from the supplier and resells them in its own name, taking on the commercial risk of unsold stock. The distinction matters because the Commercial Agents Regulations only apply to genuine agency relationships, not distribution arrangements, so calling an arrangement an agency does not automatically bring it within scope.

No. The Regulations apply specifically to agents who negotiate or conclude the sale or purchase of goods on behalf of a principal, not services. Even where the Regulations apply, some terms cannot be excluded regardless of what the contract says, particularly around compensation on termination. We check the substance of the relationship, not just its label, before advising on which protections apply.

It depends on the notice period set out in the agreement and whether the Commercial Agents Regulations apply. Where they do, an agent may be entitled to compensation or an indemnity when the relationship ends, even if the contract itself is silent on the point. Ending an agency arrangement without checking this first can result in a larger payout than expected, so it is worth reviewing the position before giving notice.

Commission is typically calculated as a percentage of the value of business the agent generates, paid either on order, invoice or payment, depending on what the agreement specifies. Some agreements include a retainer alongside commission, particularly where the agent is expected to carry out marketing or account management work beyond simply introducing business. Getting the payment trigger and calculation method clearly defined avoids disputes over what is owed.

If a third party reasonably believed the agent had authority to act, the principal may still be bound by what the agent agreed, even if the agent had exceeded their instructions. This is why clearly defined authority limits in the written agreement matter, along with clear communication to third parties about the scope of the agent’s role where the arrangement is genuinely limited.

Rent review clauses and rent-free periods serve different purposes and usually appear separately in a lease. A rent-free period is an initial incentive at the start of the lease, often to allow for fit-out, while a rent review clause governs how the ongoing rent changes later in the term. Both are worth negotiating carefully but at different stages of agreeing the lease.
